Terms of Use — NextSeat
1. Acceptance and eligibility
These Terms govern your use of nextseathq.com and the assessments and programs offered by NextSeat, a trade name (DBA) of Rohjo Solutions LLC, a Florida limited liability company with its address at 7345 W Sand Lake Rd, Ste 210, OFC 2995, Orlando, Florida 32819, United States ("NextSeat," "we," "us"), collectively the "Services." By checking the acceptance box in our forms or using the Services, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Services.
The Services are available to professionals who are at least 18 years old and able to enter into a binding agreement, except residents of the European Union, the European Economic Area, the United Kingdom, China, and countries and regions subject to comprehensive U.S. sanctions. You use the Services on your own behalf, not on behalf of your employer, unless a separate agreement with your employer says otherwise.
2. The Services
Free assessment. The NextSeat readiness assessment gives you a view of your current level, your gap to your target role and an indicative development track. It is free and creates no obligation to buy anything.
AI-generated results. Our reports, plans and feedback are produced by AI agents based on the information you and the colleagues you invite provide. The free report may be reviewed for quality; paid results are reviewed for quality by NextSeat before delivery. Results may be incomplete or inaccurate and reflect the evidence provided, not an independent verification. They are educational guidance, not career, legal, financial, psychological or employment advice, and not a certification of your skills. NextSeat is not an employment agency and does not place candidates in jobs.
No guarantee of results. We do not guarantee that you will obtain a promotion, a job offer, a salary increase or any specific outcome.
Paid services. The in-depth assessment and our development programs are governed by the price, scope, payment and refund terms shown at purchase and in any separate agreement we sign with you. These Terms apply to paid services unless those terms say otherwise.
We may change, suspend or discontinue any part of the free Services at any time.
3. Your responsibilities
You agree to:
- Provide truthful information and use your own email address.
- Not include confidential information of your employer or third parties, trade secrets or sensitive personal data in your answers or work samples.
- Invite as evaluators only people who agreed to be contacted for this purpose.
- Not submit automated, fraudulent or bulk responses, or attempt to reverse-engineer, scrape or overload the Services.
- Not use the Services or their results for any unlawful purpose.
You are solely responsible for the decisions you make based on your results. We may refuse or cancel access to anyone who breaches these Terms.
4. Intellectual property
The Services, including our assessment questions, competency frameworks, scoring methodology, report and plan formats, branding and content, belong to NextSeat and are protected by intellectual property laws. You may not copy, resell or redistribute them.
You keep ownership of your answers and work samples. You allow us to use them only to deliver the Services to you, as described in the Privacy Policy. You may use your personal reports and plans for your own professional development.
5. Disclaimers and limitation of liability
The Services are provided "as is" and "as available," without warranties of any kind, express or implied, including fitness for a particular purpose, accuracy or uninterrupted availability, to the maximum extent permitted by law.
To the maximum extent permitted by law, NextSeat will not be liable for indirect, incidental, special or consequential damages, or for lost income, opportunities or career outcomes arising from your use of the Services. Our total liability for any claim related to the Services will not exceed the amount you paid us in the 12 months before the claim, or US$100 if you used only free Services.
Nothing in these Terms limits rights that cannot be waived under the consumer protection laws of your country of residence.
6. Governing law, changes and contact
Governing law. These Terms are governed by the laws of the State of Florida, United States, without regard to conflict-of-law rules. Disputes will be resolved in the state or federal courts located in Orange County, Florida, unless the law of your country of residence gives you a non-waivable right to another forum.
Changes. We may update these Terms. The new version will be posted here with its effective date and applies from then on. Continuing to use the Services means you accept it.
Severability. If any provision is found unenforceable, the rest remains in effect.
